Abstract

Despite the high widespread of Assurance and GRI adoption, recent literature identify a lack of research about the role that multi-level CG mechanisms has on these two specific CSR disclosure decisions. Therefore, this paper aims to analyze if Corporate Governance mechanisms are drivers of two CSR disclosure decisions. To do that, 176 companies from the utility industry worldwide which report about CSR through a sustainability report were selected. Results show that CG mechanisms have a relevant role in these two disclosure decisions, in the same way that they are really helpful to explain why companies are involved in CSR reporting. While Diversity of the Board and the existence of a CSR Committee have an influence on Assurance decision, GRI adoption is being affected by the Board Size and the existence of CSR Committee. The voluntariness or mandatoriness on the publication of the report also affect to these relationships.
